Customer Agreement • Version 1.0

1. Parties

This Website Services Agreement (“Agreement”) is between CMM Web Solutions (“CMM”) and the customer identified below (“Customer”).

2. Initial Website Build — $130 One-Time Fee

Any free demonstration website provided before acceptance of this Agreement is a sales demonstration only and is not the completed Customer website or part of the paid website build. No domain registration, paid hosting setup, or final launch is required until Customer accepts this Agreement and the applicable payment is received.

CMM will design, configure, and deploy a standard business website for Customer for a one-time fee of $130. The fee covers the agreed initial website build, deployment, and first-year domain registration when a domain is included in the agreed package.

CMM’s completion timeline depends on Customer providing required information, materials, approvals, and responses in a timely manner. Delays caused by Customer do not constitute a failure by CMM to perform.

The initial website is based on information and materials supplied or approved by Customer.

The initial build includes the pages, layout, content, features, and revisions agreed before launch.

Custom applications, ecommerce, booking systems, extensive copywriting, photography, or other substantial work outside the agreed scope may require a separate quote.

The $130 initial website build fee is due after Customer has reviewed and accepted this Agreement and before CMM begins the paid website build or launches the website on Customer’s domain. Once the website has been completed and approved by Customer, the $130 build fee is non-refundable, except where applicable law requires otherwise.

3. Domain Name

Customer owns the domain name registered for Customer’s business.

When practical, the domain will be registered using Customer’s information/account. Customer is responsible for renewal fees after any included first year.

If Customer leaves CMM, Customer may take the domain to another provider. CMM will reasonably cooperate with a domain transfer or DNS change, subject to applicable registrar requirements.

Customer is responsible for maintaining current payment information and renewing the domain when renewal fees become due. CMM is not responsible for expiration, suspension, or loss of a domain resulting from Customer’s failure to renew or maintain the domain.

4. Website Hosting, Platform & Intellectual Property

The website is provided as a hosted service through infrastructure selected by CMM. Customer does not receive administrative access to CMM’s hosting account, Cloudflare account, templates, automation systems, proprietary tools, or other CMM infrastructure.

CMM retains ownership of its pre-existing templates, reusable code, design systems, processes, automation, tools, and proprietary technology. Customer retains ownership of business information, photographs, logos, trademarks, and other materials Customer provides and has the right to use.

Customer receives a continuing right to use the completed website while CMM continues providing the website service under this Agreement. This Agreement does not transfer CMM’s underlying platform, templates, reusable code, or proprietary systems to Customer.

4A. CMM Website Credit

Each website built and maintained by CMM will include a small, unobtrusive “Websites by CMM Web Solutions” link in the website footer. The link will point to CMM’s website. This credit is part of CMM’s standard website service and will remain on the website while CMM provides the website service.

5. Website Care Plan — $20 Per Month

The optional Website Care Plan costs $20 per month. The first month is free when Customer initially enrolls with the website build. After the free month, the $20 monthly charge begins unless Customer cancels before the paid billing period begins. Customer may cancel the Care Plan at any time.

Routine website updates are included while the Care Plan is active.

Examples include changes to hours, phone numbers, addresses, services, photos, and ordinary website wording.

Customer may cancel the Care Plan. After cancellation, the website remains online unless otherwise requested or permitted under this Agreement.

Basic Website Hosting. The $130 initial website build fee includes basic hosting of the completed website at no additional recurring hosting charge. Customer is not required to purchase the optional Website Care Plan to keep the website online. CMM may continue hosting the website after completion for as long as CMM continues offering the standard website service, subject to the termination provisions of this Agreement.

The Care Plan does not include major redesigns, new custom functionality, ecommerce, booking systems, or other substantial development.

6. Non-Subscriber Website Updates

Customers who are not enrolled in the Care Plan may request routine website changes or troubleshooting for $35 per service request. A single $35 request may contain multiple minor, related changes. The $35 fee covers CMM’s time to review and perform the requested work. Examples include changing business hours, phone numbers, addresses, services, photos, wording, or correcting a website issue. Requests that are unusually extensive, time-consuming, or require substantial redesign or development may be treated as a Website Rebuild or separately quoted work.

Major redesigns or substantial website changes are treated as a Website Rebuild.

7. Website Rebuild

For customers who are not enrolled in the Care Plan, a Website Rebuild is $50. A rebuild means a substantial redesign or restructuring of the existing website.

Customers enrolled in the $20/month Care Plan may request a Website Rebuild for $10 while the Care Plan is active. Custom applications, ecommerce, booking systems, or other substantial development may require a separate quote.

8. Cancellation / Leaving CMM

Customer may stop using CMM’s service at any time. Customer’s domain remains Customer’s property. Upon request, CMM will reasonably cooperate with steps needed to remove Customer’s domain from CMM’s hosting service so Customer can use the domain with another provider.

The $130 build fee pays for completed work and is not contingent on Customer remaining subscribed to the Care Plan.

CMM may suspend or terminate website service when reasonably necessary for nonpayment, unlawful or abusive use, security concerns, violation of this Agreement, or circumstances outside CMM’s reasonable control. When practical, CMM will provide reasonable notice before termination or suspension.

9. Customer Materials and Accuracy

Customer represents and warrants that Customer owns, has permission to use, or otherwise has the legal right to provide CMM with any photographs, logos, trademarks, business names, slogans, written content, graphics, videos, or other materials supplied for use on the website. Customer is solely responsible for obtaining any required licenses, permissions, releases, or other rights. CMM is not responsible for copyright, trademark, publicity-rights, or other intellectual-property claims arising from materials provided by Customer. Customer is responsible for the accuracy and legality of information supplied by Customer and agrees to defend, indemnify, and hold CMM harmless from claims, damages, costs, and reasonable legal expenses arising from Customer's unauthorized use or provision of such materials.

Customer is responsible for determining what personal or sensitive information is published on the website or submitted through website forms. CMM is not providing legal or privacy compliance advice and is not responsible for Customer’s privacy practices unless separately agreed in writing.

10. Google, Search Engines & Third-Party Services

CMM may configure the website for search-engine crawlability and may assist with services such as Google. CMM does not guarantee search-engine indexing, rankings, traffic, leads, reviews, or placement in search results. Customer remains responsible for ownership and verification of Customer’s Google Business Profile and other third-party accounts unless separately agreed.

11. Content, Reviews & Claims

CMM will not knowingly create fabricated customer reviews, testimonials, business claims, certifications, licenses, awards, or other misleading representations. Customer is responsible for approving business claims and testimonials used on the website.

12. Availability and Maintenance

CMM will make reasonable efforts to keep the website available through its hosting provider. Temporary interruptions may occur because of hosting, domain, DNS, internet, security, maintenance, or third-party service issues. CMM does not guarantee uninterrupted availability.

13. Payment

Customer agrees to pay applicable fees. Care Plan charges recur until canceled. One-time update, rebuild, and separately quoted work must be paid before the requested work is performed unless otherwise agreed in writing. CMM may decline additional work when an amount due remains unpaid.

14. Limitation of Responsibility

CMM provides website design, hosting, and update services and does not provide legal, tax, accounting, insurance, advertising, or regulatory advice. Customer is responsible for the legality of Customer’s business, claims, products, services, and content. To the extent permitted by law, CMM is not responsible for indirect, incidental, special, or consequential losses arising from use of the website or interruption of third-party services.

To the extent permitted by law, CMM’s total aggregate liability arising out of or relating to the services will not exceed the total amount actually paid by Customer to CMM for the services giving rise to the claim.

18. Entire Agreement

This Agreement, together with any written scope or terms expressly incorporated into it, constitutes the entire agreement between CMM and Customer regarding the services and supersedes prior discussions or understandings concerning those services. Any amendment must be agreed to in writing or electronically by both parties.

17. Severability

If any provision of this Agreement is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the extent permitted by law.

16. Force Majeure

CMM will not be considered in breach of this Agreement for delays or failures caused by circumstances beyond CMM’s reasonable control, including hosting or registrar outages, internet or DNS failures, natural disasters, utility or infrastructure failures, cybersecurity incidents, government actions, or other events outside CMM’s reasonable control.

15. Governing Law

This Agreement will be governed by the laws of the State of Alabama, without regard to conflict-of-law principles.

19. Agreement and Approval

By signing below or accepting this Agreement electronically, and by submitting the applicable payment, Customer confirms that Customer has reviewed and accepted the pricing, ownership, hosting, update, cancellation, domain, customer-materials, and service terms. Electronic acceptance may be recorded by CMM with the date, time, Agreement version, and Customer information.

Preview copy of the current CMM Web Solutions agreement. Final customer acceptance should use the agreement version CMM designates for the transaction.
